Modifications to General Terms and Conditions - Foreign Contracts (Subcontracts/Purchase Orders)

The following modifications are hereby made to Terms and Conditions of Purchase (4/94):

1. The following listed clauses in Section II (Article 31), Section III (Article 23), and Section IV (Article 27) are not applicable to Seller, but are applicable to any subcontracts placed by Seller for work in the U.S.:

(10) 52.212–8 Defense Priority and Allocation Requirements

(15) 52.219–8 Utilization of Small Business Concerns and Small Disadvantaged Business Concerns.

(16) 52.219–9 Small Business and Small Disadvantaged Business Subcontracting Plan. This clause only applies if this Contract exceeds $500,000 and Sellers is not a small business concern.

(17) 52.220–3 Utilization of Labor Surplus Area Concerns.

(18) 52.220–4 Labor Surplus Area Subcontracting Program. This clause only applies if this Contract exceeds $500,000.

(20) 52.222–4 Contract Work Hours and Safety Standards Act - Overtime Compensation.

(21) 52.222–20 Walsh–Healy Public Contracts Act.

(22) 52.222–26 Equal Opportunity (paragraph (b)(1) through (11) only). This clause applies unless exempt under FAR 22.807.

(23) 52.222–35 Affirmative Action for Special Disabled and Vietnam Era Veterans. This clause only applies if this Contract exceeds $10,000

(24) 52.222–36 Affirmative Action for Handicapped Workers. This clause only applies if this Contract exceeds $2,500.

(25) 52.222–37 Employment Reports on Special Disabled Veterans and Veterans of the Vietnam Era. This clause applies if this Contract is for $10,000 or more.

(26) 52.223–2 Clean Air and Water. This clause only applies if this contract exceeds $100,000.

(29) 52.225–3 Buy American Act - Supplies.

2. The following listed clauses in Section II (Article 31), Section III (Article 23), and Section IV (Article 27) are not applicable to Seller but are applicable to any subcontracts placed by Seller for work in the U.S.:

(1) 252.203–7001 Special Prohibition on Employment. This clause only applies if this Contract exceeds $25,000.

(9) 252.225–7001 Buy American Act and the Balance of Payments Program.

3. Add the following listed clauses in Section II (Article 31), Section III (Article 23), and Section IV (Article 27) which is only applicable to any subcontracts placed by Seller for work in the U.S.:

(41) 52.219–9 Utilization of Woman Owned Small Businesses. This clause only applies if this Contract exceeds $25,000.

4. Add the following listed clauses in Section II (Article 31), Section III (Article 23), and Section IV (Article 27) which are only applicable to any subcontracts placed by Seller for work in the U.S.:

(35) 252.208–7003 Required Sources for High Carbon Ferrochrome.

(36) 252.219–7000 Small Business and Small Disadvantaged Business Subcontracting Plan (DoD Contracts). This clause only applies if FAR 52.219–9 is applicable to the Contract.

(37) 252.225–7002 Qualifying Country Sources as Subcontractors. This clause only applies when clause 252.225–7001 applies to the Contract.
